These Terms of Service (“Terms”) govern your access to and use of CirclePass (“CirclePass,” “we,” “us,” or “our”). By creating an account or using our website and services, you agree to these Terms.
1. Description of Service
CirclePass provides a platform for digital membership verification and private circle management through QR codes and disposable digital credentials (“Passes”).
The Service is designed to enable secure, privacy-preserving verification between members of closed groups.
CirclePass is not a social network and does not offer public profiles, posts, or messaging features.
2. Accounts and Eligibility
You must be at least 16 years old to use CirclePass.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate information and not to impersonate any other person or entity.
We reserve the right to suspend or terminate any account that violates these Terms or is used for fraud, impersonation, or other unauthorized purposes.
3. Subscription and Payments
Some features of CirclePass require a paid subscription.
By subscribing, you authorize CirclePass (or its payment processor) to charge your selected payment method according to the chosen plan and billing cycle.
Unless otherwise required by law, payments are non-refundable.
We may modify pricing or features at any time, with reasonable notice before changes take effect.
4. User Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
We do not sell personal data and only process information required for account functionality, security, and compliance.
5. User Content and QR Passes
You are solely responsible for any data, information, or credentials shared or verified through CirclePass, including Passes and circle details.
CirclePass is not responsible for the accuracy of user-generated content or for any misuse, loss, or unauthorized sharing of QR Passes.
You grant CirclePass a limited, non-exclusive, worldwide license to process this data solely for operating the Service.
6. Acceptable Use
You agree not to use CirclePass to:
- engage in illegal, fraudulent, or deceptive activity;
- attempt to reverse engineer, decompile, or disrupt the Service;
- share, sell, or resell access without authorization;
- impersonate another user or entity;
- upload content that violates the rights of others or applicable laws.
7. Intellectual Property
All rights, title, and interest in the Service—including software, trademarks, branding, and content—are owned by CirclePass or its licensors.
Except as expressly permitted, you may not reproduce, distribute, or create derivative works based on our materials without prior written consent.
8. Disclaimer of Warranties
CirclePass is provided on an “as is” and “as available” basis without warranties of any kind.
We disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.
We do not guarantee uninterrupted or error-free service.
9. Limitation of Liability
To the fullest extent permitted by law, CirclePass shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill arising from your use of the Service.
10. Changes to Terms
We may update these Terms from time to time. The “Last updated” date above will reflect the most recent version.
Your continued use of CirclePass after any changes means you accept the updated Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
